<p>INDIANAPOLIS â€” MAR. 14, 2007 â€” Consona Corporation (Consona, formerly known as M2M Holdings, Inc.), the privately held holding company jointly owned by Battery Ventures and Thoma Cressey Bravo, today announced it has closed on its acquisition of KNOVA Software, Inc. (KNOVA), a leading provider of knowledge management (KM) and service resolution management (SRM). The all-cash transaction announced in December 2006 was valued at $5.00 per share, or approximately $47 million. With the close of this transaction, KNOVA has completed its transformation to a private company after being publicly traded on the OTC Bulletin Board under the KNVS symbol since May 2005. KNOVA is Consona&#8217;s sixth acquisition in the last eighteen months (past acquisitions include Cimnet Systems, Inc., AXIS Computer Systems, Inc., Encompix, Inc., Intuitive Manufacturing Systems, Inc., and Onyx Software Corporation). </p>
<p>The acquisition effectively launches Consona CRM, the new name for the CRM-focused operating division of Consona Corporation, which now houses sister product lines KNOVA and OnyxÂ® CRM. Pete Strom, general manager of Consona CRM, will oversee KNOVA going forward. In his role, Strom will be assisted by members of the KNOVA management team to profitably grow the business. As part of Consonaâ€™s proven operating model, the complementary KNOVA and Onyx solutions will retain their brand identity and be sold both separately and together to new customers via a shared sales force. As such, KNOVAâ€™s KM and SRM solutions will continue to be sold, maintained, supported and enhanced to augment all popular CRM platforms, includingâ€”but not limited toâ€”the Onyx solution. The model also ensures that existing customers of both products will be served by dedicated, product-specific account management, development, customer support, and professional services teams. </p>
<p>&#8220;The combination of Onyx and KNOVA will create the first and only operational and collaborative CRM offering available in the market, and we canâ€™t be more excited about that,&#8221; said Strom. &#8220;Future releases of KNOVA and Onyx will deliver a completely unique CRM solution to enterprises of all sizes, featuring adaptive but tightly integrated customer relationship management, business process management, business intelligence, and service resolution management functionality.&#8221; </p>
<p>Beyond a stronger value proposition for both product lines, Strom cited a number of benefits to operating the Onyx and KNOVA businesses together as Consona CRM. &#8220;Once the integration is completed,&#8221; said Strom, &#8220;numerous cross-selling opportunities will open upâ€”particularly for Onyx customers who are seeking guided selling functionality [from Active Decisions] or strengthened Web self-service and service resolution management functionality. <p>INDIANAPOLIS, March 8, 2007 â€” After experiencing tremendous growth in 2006, the executive team at M2M Holdings Inc. decided a new name was needed to describe the unified vision behind its growing line of world-class enterprise resource planning (ERP) and customer relationship management (CRM) solutions. That&#8217;s why today, they will officially rename their holding company Consona Corporation (Consona). </p>
<p>&#8220;M2M Holdings was never intended to be a widely-known name,&#8221; said Tom Millay, vice president of sales and marketing for Consona. &#8220;We started the business with the Made2Manage product and, now, seven acquisitions later, keeping the &#8216;M2M&#8217; as part of the holding company name has caused confusion in the marketplace. We wanted to find a clearer way to convey the vision behind our various product lines, so we put a team together that would find a name that is not only memorable and unique, but also whose meaning will better reflect what we&#8217;re trying to do as a corporation.&#8221; </p>
<p>Jeff Tognoni, CEO of Consona, pointed out that nothing is new but the name. &#8220;Everything the market has seen from M2M Holdings to date is still completely valid,&#8221; he said. &#8220;We&#8217;re still the same company with the same strategy and vision. We still have the same owners, management team, and personnel working in our existing office locations. And we continue to actively sell, support, maintain and enhance our various ERP and CRM product lines.&#8221; </p>
<p>According to Millay, Consona will adopt a branding strategy that is similar to Johnson &amp; Johnson&#8217;s, with each product line marketed, sold, and operationally supported separately, but also identified by the master brand. <p>INDIANAPOLIS &amp; SEATTLE, Jan. 16, 2007 â€” M2M Holdings Inc., a leading provider of enterprise resource planning (ERP) and customer relationship management (CRM) solutions for the enterprise, today announced that Pete Strom will join the company to become the general manager of Onyx Software Corporation (Onyx), a business unit of M2M Holdings Inc. and worldwide leader in CRM and process management software for mid- and large-size enterprises. Strom will take over for Acting General Manager Tom Millay, who will return to his previous role as vice president of sales and marketing for M2M Holdings. </p>

<p>INDIANAPOLIS,Dec. 18, 2006â€”M2M Holdings Inc., the privately held holding company jointly owned by Battery Ventures VI L.P. (Battery) and Thoma Cressey Equity Partners (TCEP), today announced it has signed a definitive agreement to acquire KNOVA Software Inc. (OTC Bulletin Board: KNVS), a leading provider of intelligent customer experience applications, in an all-cash transaction valued at $5.00 per share, or approximately $47 million. </p>
<p>The parties anticipate closing the transaction in the first calendar quarter of 2007. The closing is subject to approval by holders of a majority of KNOVA Software&#8217;s outstanding common stock and other customary regulatory and documentation closing conditions. </p>
<p>As with each of its past acquisitions, M2M Holdings will apply its proven integration model to the acquisition of KNOVA Software. This model ensures that each acquired product line maintains its brand identity and is enhanced, maintained, supported and sold by dedicated sales, product management, development, customer support, and professional services teams. </p>
<p>&#8220;The most immediate and obvious advantage of this acquisition is a broadened, more powerful customer management offering based on the individual strengths of the KNOVA and Onyx applications,&#8221; said Jeff Tognoni, CEO of M2M Holdings. &#8220;Leveraging Onyx&#8217;s leading Service-Oriented Architecture and KNOVA&#8217;s existing application programming interfaces for customer relationship management integration, the two products can be quickly integrated with one another using Web services. <p>SEATTLE and INDIANAPOLIS, WA &#8211; September 29, 2006 &#8211; Following its acquisition by M2M Holdings Inc. less than two months ago, Onyx Software, a worldwide leader in customer relationship management (CRM) solutions for the enterprise, today announced the controlled release of Onyx Version 6.0 (v6.0). </p>
<p>&#8220;We communicated to our customers that we would issue v6.0 by the end of the third quarter, and we were pleased to be able to begin the process of integrating Onyx into M2M Holdings while also honoring our commitment to customers,&#8221; said Tom Millay, general manager of Onyx Software. </p>
<p>Jeff Tognoni, CEO of M2M Holdings, said that the successful release of v6.0 is a testament to the fact that Onyx continues to move forward as a separate business unit of M2M Holdings. Onyx continues to be served by dedicated sales, marketing, product management, development, customer support, and professional services teams. &#8220;These teams will continue to market, sell, enhance and support the Onyx solution as we focus on achieving sustainable and profitable growth,&#8221; said Tognoni. </p>
<p>Onyx v6.0 contains a variety of enhancements to core Onyx products, including Onyx Employee Portal (OEP), Onyx Process Manager, and Onyx Business Intelligence. In addition to underlying architectural enhancements, v6.0 offers new tools that will help users realize greater system flexibility, increased collaboration across the organization, and simpler system upgrades. Onyx v6.0 also contains personalization features that will help users easily adapt the product to meet unique user, departmental, environmental and market needs. </p>
<p>Over the coming months Onyx will continue to provide version 6.0 companion product releases. &#8220;Those product releases will enhance the functionality of v6.0, solidifying Onyx as the most flexible and well-architected enterprise CRM solution in the market,&#8221; said Tim Hines, vice president of product management for Onyx. </p>
<p>According to Hines, as the Onyx research and development team finalizes the completion of companion products to the v6.0 platform, the Onyx product management team will launch a refined product management process that seeks to gather and leverage increased customer input. </p>

<p>BELLEVUE, WA &#8211; September 5, 2006 &#8211; OnyxÂ® Software, a business unit of M2M Holdings, Inc. and worldwide leader in customer management solutions for the enterprise, today announced that the Long Term Care Authority (LTCA) of Tusla, Okla. has chosen the Onyx solution to be the foundation of its strategic initiative to become a more data-driven organization. The LTCA will implement Onyx customer and process management applications and analytics to streamline business processes and improve operational performance and intelligence. </p>
<p>Established in 1987, the LTCA is a trust authority created to address the public interest of long-term care. Since 1993, the LTCA of Tulsa, together with the LTCA of Enid, has been the administrative agent for the Medicaid ADvantage Program. The government-funded organization orchestrates home care services to deliver a better quality of life to consumers at a lower cost, allowing people to avoid institutionalization in hospitals, nursing homes, and long-term care facilities. To ensure that its consumer and provider service operations are coordinated and expedited efficiently and effectively among case managers, the LTCA needed to automate its business rules and processes that prompt users to work in a consistent fashion. </p>
<p>To be successful, the LTCA plans to replace home-grown applications that offered limited reporting capabilities and workflow support. The organization needed a more robust, user-friendly system that would easily track home care applications and communications throughout the data lifecycle, from who initiated a work order and what individuals were involved along the way to application status and process time. After an extensive review of vendors, the LTCA chose Onyx software based on its technology, flexibility and proven return on investment. </p>
<p>&#8220;In order to change and grow in this environment, we needed to automate wherever we could to make the most of tax dollars,&#8221; said Deborah Karns, CEO of the LTCA. &#8220;Our new system will allow us to build upon our innovation, as well as the increased demand on technology and people to do more with less. As a result, Onyx will enable us to deliver faster, higher quality services at a lower cost.&#8221; </p>
<p>&#8220;Onyx offered the most complete solution to increase and ease the collection, tracking and availability of critical information, as well as improve and automate our manual business processes,&#8221; said Wendy Marino, senior project manager for the LTCA. &#8220;Onyx will work closely with our more than 80 employees to define our workflow mission, margins and purpose. By integrating and streamlining processes across disparate systems, we hope to reduce data entry duplication across multiple departments.&#8221; </p>
<p>Onyx process management capabilities are tightly integrated with the Onyx customer management and analytics product families. Through an embedded technology partnership with Cognos, Onyx analytics deliver business intelligence (BI) capabilities and dashboards for executive reporting, tracking business objectives, and advanced performance metrics. To ensure that it meets and exceeds timelines for service delivery and compliance with government regulations and controls, the LTCA&#8217;s BI engine will now measure 76 key performance indicators, such as claim issue resolution, provider performance, health and safety risk screening, and the average number of days and documents processed for each program care application. </p>
<p>&#8220;The complexity of our previous reporting tools limited our access to timely information,&#8221; added Marino. &#8220;This new data strategy will bridge the execution gap, grants us the flexibility to adapt to unplanned changes brought upon by internal and external conditions, and provides a holistic view of our clients and services.&#8221;</p>

<p>INDIANAPOLIS &#8211; August 2, 2006 &#8211; M2M Holdings Inc., the holding company that is jointly owned by Battery Ventures VI, L.P. and Thoma Cressey Equity Partners and whose primary asset is Made2Manage Systems Inc., an enterprise software and services company, today announced that its proposed merger with Onyx Software Corporation (Onyx) has been finalized. The all-cash transaction announced in early June was valued at $4.80 per share, or approximately $92 million. With the close of this transaction, Onyx has completed its transformation to a private company after seven years of being publicly traded on the NASDAQ stock exchange under the ONXS symbol. </p>
<p>&#8220;The acquisition of Onyx further solidifies our position as a leading enterprise software and services vendor with proven financial strength,&#8221; said Jeff Tognoni, CEO of both Made2Manage Systems and Onyx Software Corporation. &#8220;The addition of Onyx to our business also provides a second platform for industry consolidation, and extends the geographic reach of our direct distribution capabilities.&#8221; </p>
<p>Onyx will operate organizationally as a business unit of its sister company, Made2Manage Systems, which houses several enterprise resource planning (ERP)-based product lines. As previously announced, Janice P. Anderson, former CEO of Onyx, will not continue with the business. </p>
<p>&#8220;The privatization of Onyx will allow us to eliminate the costs associated with being a public company and increase our focus on meeting customer needs, including delivering responsive customer service and support and pursuing the ongoing enhancement of the Onyx solution,&#8221; said Tognoni. &#8220;Strategically, the company will have the ability to make longer term investments without concern to the short-term financial impact on shareholder value.&#8221; </p>
<p>These investments will be fully backed by Onyx&#8217;s financial partners, Battery Ventures and Thoma Cressey Equity Partners, which have significant financial resources and expertise in driving consolidation in the software industry. &#8220;We fully support Onyx&#8217;s previously stated strategy to pursue growth opportunities, both organically and via acquisition,&#8221; said Dave Tabors, general partner of Battery Ventures. &#8220;We plan to see Onyx become the flagship product in a CRM (customer relationship management) vendor consolidation effort.&#8221; </p>
<p>The Onyx product line will continue to be enhanced, supported, maintained and sold. The company&#8217;s robust product functionality and state-of-the art technology architecture, including a Microsoft .NET framework and Service-Oriented Architecture, is in line with Made2Manage Systems&#8217; technology strategy. &#8220;The architecture of the Onyx solution will make synergies extremely efficient-not only across acquired CRM products, but also across our ERP-based product lines that serve manufacturers and distributors,&#8221; said Steve Bailey, Made2Manage Systems&#8217; chief technology officer. </p>
